General Terms & Conditions
1. PROVISION OF GOODS AND/OR SERVICES
1.1 Azzopardi & Partners Pty Ltd ABN. 16 003 727 446, head office mailing address: Level 13/83 Mount Street, North Sydney, NSW 2060, will provide you with the goods and/or services set out in our Dedicated Service Agreement and/or your Purchase Order, email or other request. Only those goods and/or services mentioned will be provided by Azzopardi & Partners Pty Ltd and any additional creative services, amendments, authors corrections, add ons or extra charges due to schedule, specification, timing or other changes will be invoiced additionally only if outside of monthly allotted time. This and the following clauses are the General Terms and Conditions on which those goods and/or services are supplied together with your Purchase Order (if provided) or other instruction and our quotation or fee schedule (if provided) form the total agreement between us, to the exclusion of all other agreements.
2. COSTS + PAYMENTS
2.1 You agree to pay all charges for goods and/or services as set out in our agreement plus any additional approved costs. Quotations are valid for a period of 30 days.
2.2 Intellectual property rights remain with Azzopardi & Partners Pty Ltd until full payment of all outstanding accounts. Azzopardi & Partners does not have intellectual rights to 3rd party suppliers, and thus cannot reassign rights.
2.3 You must pay Azzopardi & Partners Pty Ltd charges without any set off, counter claim or deduction unless same is agreed in writing between us, within 14 days.
3. LIMITATION OF LIABILITY
3.1 All terms conditions, warranties, undertakings inducements and representations, whether express or implied, statutory or otherwise relating to the provision of goods and/or services by AZZOPARDI & PARTNERS not contained in the agreement are excluded and AZZOPARDI & PARTNERS will not accept liability for any loss or damage (including consequential loss or damage) however caused (whether by negligence or otherwise) which may be suffered or incurred or which may arise directly or indirectly with respect to the service.
3.2 You acknowledge that by virtue of the nature of the goods and/or services provided, the work cannot be guaranteed to be 100% error free and acknowledge that the existence of errors shall not constitute a reason to terminate this agreement.
4. SUSPENSION OF GOODS AND/OR SERVICES
4.1 Azzopardi & Partners Pty Ltd reserves the right to suspend supply of goods and/or services in any case where you fail to perform your obligations under this agreement.
5. TERMINATION
5.1 You agree that should you wish to discontinue your relationship/contract/understanding or agreement with Azzopardi & Partners you will give 90 days notice in writing and remain liable for payment of any and all services contracted to be supplied in this 90 day period.
